What are Company Secretarial Services?

Company Secretarial Services involves the administration and compliance tasks necessary to ensure that a company adheres to legal and regulatory requirements. This includes maintaining statutory records, filing annual returns, ensuring compliance with corporate governance standards and advising on legal obligations.

Under the Companies Act 2014, companies in Ireland are required to fulfil a number of company secretarial obligations to ensure compliance with legal and regulatory standards, including:

Appointment of a Company Secretary: Every company must appoint a company secretary, who can be an individual or a corporate entity. The secretary is responsible for ensuring the company complies with statutory obligations.
Maintenance of Statutory Registers: Companies must maintain up-to-date statutory registers, including registers of directors, secretaries, shareholders and beneficial ownership.
File Annual Returns: Companies are required to file annual returns with the Companies Registration Office (“CRO”), including financial statements and other necessary documents within specific deadlines.
Hold Annual General Meetings: Public companies must hold Annual General Meetings (“AGMs”), where shareholders can discuss the company's performance, approve financial statements and address relevant issues. Private companies may opt out of this requirement under certain conditions.
Board Meeting Documentation: Minutes of board meetings must be recorded and kept as part of the company’s official records.
Compliance with Company Law: The company secretary ensures that the company complies with various provisions of the Companies Act, including those related to corporate governance, disclosure requirements and filing deadlines.
Changes in Company Structure: Any changes in the company’s structure, such as changes in directors, share capital or the registered office, must be promptly reported to the CRO.
